Terms of Service for Jane Says Esthetics LLC

1. Agreement to Terms

By using the services offered by Jane Says Esthetics LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all clients, visitors, and others who access our services.

2. Provision of Digital Marketing Services

Jane Says Esthetics LLC agrees to provide the client with digital marketing services as described in a mutually agreed-upon Statement of Work (SOW) or proposal. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, content creation, and web development.

3. Timelines and Deliverables

Project timelines and key deliverables will be outlined in the SOW. While Jane Says Esthetics LLC will make every reasonable effort to meet the agreed-upon deadlines, we are not liable for delays caused by the client's failure to provide necessary assets, feedback, or approvals in a timely manner, or for delays caused by third-party platforms (e.g., search engine algorithm updates, ad platform reviews).

4. Payment Terms

Payment terms, including service fees, billing cycles, and payment methods, will be specified in the SOW or invoice. Services are typically billed on a recurring monthly basis. Invoices are due upon receipt unless otherwise specified. Failure to make timely payments may result in a suspension of services.

5. Client Responsibilities

The client agrees to provide all necessary access to information, data, and platforms required for Jane Says Esthetics LLC to perform the services. This includes access to website backends, analytics accounts, and advertising platforms. The client is responsible for the accuracy and legality of all content, materials, and information provided to Jane Says Esthetics LLC.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the service agreement. This includes business strategies, client data, and campaign performance metrics. This obligation extends beyond the termination of the service agreement.

7. Limitation of Liability

In no event shall Jane Says Esthetics LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services. Our total liability for any claim arising out of or relating to these terms or our services is limited to the amount paid by you for the services in the preceding six (6) months.

8. Termination

Either party may terminate the service agreement with a written notice, typically 30 days in advance, as specified in the SOW. Upon termination, the client is responsible for all fees accrued up to the termination date. Jane Says Esthetics LLC will provide the client with all relevant data and campaign assets upon final payment.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Jane Says Esthetics LLC is registered, without regard to its conflict of law provisions.
